On Oct. 21st United Technologies Corp. (UTX.NYSE) a multi-billion dollar company traded on the NYSE confirmed that it has received clearance to acquire up to 30 percent of the ordinary shares of Kidde PLC under the Hart-Scott-Rodino rules in the United States. UTC has previously approached Kidde with a formal proposal for a cash offer for the entire share capital of Kidde, most recently at a price of up to 160p and subject to due diligence.

On October 22nd, 2004 Kidde PLC rejected a tentative takeover offer valued at up to $2.3 billion from the conglomerate United Technologies Corp., saying it significantly undervalues the company. Kidde suggested, however, that it was open to a higher offer. A spokesman for Hartford, Connecticut-based UTC said in London on Friday that the firm was still keen to talk to Kidde. But both sides are thought to have been unable to agree on the terms of a standstill agreement that would stop UTC from buying more Kidde shares while any exploratory negotiations were carried out.
