Lorman Education Services presents Sarbanes-Oxley Act seminar on November 18

This "Sarbanes-Oxley Act" seminar will review the SOX requirements and penalties; give practical solutions to assist in compliance readiness; help to clarify the standards set for management and directors; and examine the impact liability, risk and workflow.

(PRWEB) September 22, 2005 -- The Sarbanes-Oxley Act, also referred to as Sarbox" or SOX," was enacted by Congress in response to the major corporate, accounting and document destruction scandals that rocked the stock markets recently. In an effort to restore corporate ethics, controls and meaningful disclosure to shareholders – and ultimately restore investor confidence – SOX establishes a framework for corporate accountability, including strict new standards and penalties for violations in the areas of corporate governance, disclosures, audits, financial reporting and conflicts of interest.

Although originally enacted only for public companies, SOX is quickly becoming the standard of care" for privately-owned and not-for-profit companies. The IRS and the office of inspector general are adopting SOX principles to raise the standards of corporate governance and management accountability. Regulators are examining the independence of boards and audit committees, as well as the effectiveness of compliance policies and procedures related to reporting information to management and directors, document retention and destruction, and treatment of corporate whistleblowers." This seminar will review the SOX requirements and penalties; give practical solutions to assist in compliance readiness; help to clarify the standards set for management and directors; and examine the impact liability, risk and workflow.

Ronald J. Kral, M.B.A., CPA, CMA is a founding partner of Candela Solutions, LLC, a public accounting firm based in Madison, Wisconsin. He knows the audit and consulting arenas well, having assisted over 200 clients with Big Four and local CPA firms. Mr. Kral has consulted with public companies ranging in size from $12 billion to less than $100 million in annual revenue. Prior to forming Candela Solutions, he was the lead executive over Wisconsins lottery business for GTECH, a NYSE public company. Previously, Mr. Kral was a PricewaterhouseCoopers (PwC) principal consultant with leadership responsibilities over performance auditing, internal controls and governance projects. He began his public accounting and consulting career with a California CPA firm, where he eventually oversaw its statewide consulting practice as a managing director, including working extensively with Ernst & Young (E&Y) on joint projects. Mr. Kral is a nationally recognized speaker on governance, business ethics, internal controls and the Sarbanes-Oxley Act of 2002. He is a director of Financial Executive Internationals Milwaukee chapter, and holds an M.B.A. degree from Arizona State University and a B.B.A. degree from the University of Wisconsin.

Joseph D. Masterson is a partner at Quarles & Brady LLP. Mr. Masterson practices in the areas of public securities offerings and compliance, general corporate and limited liability company matters. He has had extensive experience representing corporate clients in various matters, including SEC securities registrations and periodic reporting, Sarbanes-Oxley compliance, private company finance transactions, stock and asset purchase transactions, business acquisition transactions, and drafting and negotiating various corporate documents. Mr. Masterson received a B.S. degree from Culver-Stockton College and a J.D. degree from Harvard University.

Geoffrey R. Morgan is a partner and head of Michael Best & Friedrich LLPs Securities Group. His practice is concentrated in the securities, finance and general corporate areas, and includes general corporate and securities representation for a number of publicly held and private clients. Mr. Morgan represents issuers and underwriters in underwritten public offerings of securities; companies in coordinating a wide array of legal services; and lenders, management groups, companies and sellers in acquisitions, management and leveraged buyouts. He is active in structuring and negotiating domestic and foreign joint ventures. Mr. Morgan is also active in the mergers and acquisitions area, including work in acquisitions of electric and gas utilities and utility projects. He counsels boards of directors of public and private companies as to their duties and obligations in a wide variety of matters. He received a B.A. degree, with distinction, from the University of Kentucky and a J.D. degree from the University of Kentucky College of Law, where he was a member of the Kentucky Law Journal.
