In a cash-for-stock exchange, BRAIN FORCE HOLDING AG initially acquires 10 percent of KEMP Technologies with an agreement to bring the BRAIN FORCE HOLDINGS investment in KEMP Technologies to 30 percent by June 30, 2006.
